This End User Licence Agreement (“Agreement”) governs the TrustDID software — the command-line tools, the local service, the Windows installer, and the browser and email plugins that you download and run on your own computers. Our Terms of Use govern the hosted Service — enrolment, identity hosting, trust registries and the verification API. Where the two overlap, the Terms of Use prevail. In this Agreement, “TrustDID”, “we”, “us” and “our” mean TrustDID Solutions Inc., a federal corporation incorporated under the Canada Business Corporations Act, with its head office in Quebec, Canada. “You” means the individual or organisation installing or using the software.
By downloading, installing or using the software, you agree to this Agreement. If you are installing it for an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not install or use the software.
The verifier requires no licence, no subscription and no account, and it never expires. You may install and run it on any number of machines, inside or outside your organisation, including for commercial purposes. This is deliberate: a signature is only worth something if the person receiving it can check it without asking anyone’s permission. The same applies to the browser and email plugins when used to check documents, and to our public verification API.
You may not, however, redistribute the verifier as part of your own product, or modify it and distribute the result — see section 6. If you want to embed verification in something you ship, talk to us.
Subject to this Agreement and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the licensed tools — document sealing, directory sealing, encryption, decryption, key management and the local service — for the term of your subscription, within the identity and feature limits of your plan tier as published on our pricing page. The licence is granted to you, not to a machine: you may install the software on as many computers as you reasonably operate for your own use, subject to those limits.
Paid features are unlocked by a licence file issued to you and cryptographically signed by TrustDID. It records your plan, your entitlements and an expiry date. The software checks it locally — no call home is required to use the tools you have paid for.
When a licence expires, the licensed tools stop sealing new documents and say so. Nothing you have already produced is affected: every signature you have made continues to verify indefinitely, by anyone, with the free verifier, whether or not you remain a customer. We consider this a property of the design rather than a courtesy, and we will not remove it.
You may not:
.vrfy fileSealing, checking, encrypting and decrypting all happen on your machines. The software does not upload your documents, and we never receive them. Your private keys are generated on your own hardware and stay there; for managed identities we host only the public DID document, which is public by design. You retain all rights in the documents you sign and in the .vrfy files the software produces — we claim no ownership over either, and no licence to your content.
You are responsible for the security and the backup of your private keys. We cannot recover a lost key, and a lost signing key cannot be reconstructed by us or by anyone else. That is what makes the signature meaningful.
The software includes third-party open-source components licensed under Apache-2.0, BSD-3-Clause, MIT, the SIL Open Font Licence and other terms. Those components are governed by their own licences, which take precedence over this Agreement for those components, and nothing here limits any right you have under them. We may release updates that fix defects, close security issues or add capability. Security updates matter here: a flaw in signing or verification software has consequences beyond the machine it runs on, and we may stop supporting versions we consider unsafe. Updates are provided under this Agreement unless they come with their own terms.
This Agreement runs from the moment you install the software until it is terminated. It ends automatically if you breach it. On termination you must stop using and uninstall the licensed tools; you may keep using the free verifier, and sections 7, 11, 12 and 14 survive. Documents you sealed while licensed remain valid and verifiable after termination.
The software is provided “as is” and “as available”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the software is free of defects or that it will run uninterrupted. A verification result is a statement about cryptographic evidence, not legal advice and not a guarantee about a document, a transaction or a counterparty, and you remain responsible for your own decisions. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.
To the maximum extent permitted by law, TrustDID Solutions Inc. shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, or business opportunity, arising from your use of or inability to use the software. Our total liability for any claim arising from this Agreement shall not exceed the amount you paid us for the software in the twelve (12) months preceding the claim. Nothing in this Agreement excludes liability that cannot be excluded by law.
The software contains cryptography and may be subject to export controls and sanctions law, including Canadian law and the law of the country you are in. You are responsible for complying with those laws, and you confirm that you are not located in, and will not use the software in, a jurisdiction to which supply is prohibited, and that you are not a person to whom supply is prohibited.
This Agreement is governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any dispute arising from it is subject to the exclusive jurisdiction of the courts of the district of Montreal, Quebec, Canada. The parties have requested that this Agreement be drafted in English; les parties ont demandé que cette convention soit rédigée en anglais.
We may update this Agreement. The version in force for a given release of the software is the one published here when that release was made available, and continuing to use the software after a change means you accept it. Material changes will be announced on this page with a new effective date.
