Terms of Use.

1. Definitions

In these Terms of Use (“Terms”), “TrustDID”, “we”, “us”, or “our” refers to TrustDID Solutions Inc., a federal corporation incorporated under the Canada Business Corporations Act, with its head office in Quebec, Canada. “Service” refers to the TrustDID platform, software, APIs, websites, and related services. “You” or “Customer” refers to the individual or organisation enrolling in or using the Service. “DID” refers to a Decentralized Identifier as defined by the W3C DID specification. “Signing Keys” refers to the cryptographic key pairs generated or managed through the Service.

2. Acceptance of Terms

By enrolling in a TrustDID plan, creating an account, or using the Service in any way, you agree to be bound by these Terms. If you are enrolling on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree, do not use the Service.

3. Service Description

TrustDID provides decentralized identity management, cryptographic document signing, and verification services. The Service includes software tools for generating and managing DIDs, signing keys, digital signatures, and verification of signed documents. Service availability, features, and tiers are described on our website and may change over time.

4. License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the TrustDID software and Service for the duration of your active subscription. This licence is limited to the number of identities, users, and features specified by your plan tier. You may not sublicence, resell, or distribute the software to third parties.

6. Payment & Billing

Paid plans require payment in Canadian Dollars (CAD) processed through Helcim, our Canadian payment processor. Your card data is handled exclusively by Helcim and never touches our servers. Subscriptions are billed annually. Prices are exclusive of applicable taxes. We reserve the right to change pricing with 30 days’ notice. Refunds are available within 30 days of initial purchase if no DID has been registered. Once a DID is published, no refund is available as the identity has been activated on the network.

7. Intellectual Property

The Service, software, documentation, and all associated intellectual property are and remain the exclusive property of TrustDID Solutions Inc. These Terms do not transfer any ownership rights to you. Your DID documents, signing keys, and signed content remain your property. We claim no ownership over documents you sign or verify using the Service.

8. Data & Privacy

We collect and process only the data necessary to provide the Service, including your contact information, business details, and DID documents. DID documents are published to the decentralised network and are public by design. We do not sell your personal information to third parties. Payment data is processed by Helcim and is subject to their privacy policy. We store data on servers located in Canada and comply with applicable Canadian privacy legislation including PIPEDA.

9. Key Management & Security

You are solely responsible for the security of your signing keys, API tokens, and licence keys. TrustDID is not responsible for any loss, damage, or unauthorised use resulting from compromised keys or credentials. For managed DID plans, we store your keys securely on our infrastructure. For self-hosted plans, key security is entirely your responsibility. You should immediately notify us at support@trustdid.ca if you suspect any unauthorised use of your account or keys.

10. Limitation of Liability

To the maximum extent permitted by law, TrustDID Solutions Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim. The Service is provided “as is” without warranties of any kind, express or implied.

11. Indemnification

You agree to indemnify and hold harmless TrustDID Solutions Inc., its officers, directors, employees, and agents from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

You may cancel your subscription at any time by contacting us. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if continued service is impractical. Upon termination, your licence to use the software ends immediately. Your DID documents that have been published to the network will remain accessible as part of the decentralised infrastructure, but we will cease hosting managed DIDs within 30 days of termination. You are responsible for exporting any data you wish to retain before termination takes effect.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the district of Montreal, Quebec, Canada.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to your registered address at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. The effective date at the top of this page indicates when these Terms were last updated.
